USER AGREEMENT
This User Agreement (hereinafter — the "Agreement") is entered into by TIME OF HEROES FZCO, License No. 63 815, a company registered under the laws of the United Arab Emirates with its principal office at Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, UAE, represented by its General Manager acting under the Trade License (hereinafter referred to as the "Company"), and any individual or legal entity (hereinafter referred to as the "User") who accepts this Agreement by using the Website: thetimeofheroes.com.

1. TERMS AND DEFINITIONS
Website — an Internet resource available at thetimeofheroes.com, including all its subdomains and digital services, owned and operated by the Company.
User — any individual or legal entity that registers on the Website and/or uses any of the Websiteʼs services.
Account — a personal profile created by the User during registration for the purpose of accessing and managing services.
Service(s) — any digital product, feature, functionality, or access provided by the Website, including but not limited to digital content, subscriptions, and user tools.
Order — a completed and confirmed action by the User to request access to or use of a Service, including payment where applicable.
Agreement — this User Agreement, including any amendments or policies referred to herein.
Personal Data — information related to an identified or identifiable User, provided by the User voluntarily for registration and service usage.
Hero — a User (such as a creator, expert, public figure or celebrity) who offers their time, expertise, content or other services (including but not limited to calls, chats, consultations, mentoring and collaborations) to other Users via the Website.
Fan — a User who requests and purchases access to the time, services or content of a Hero via the Website. A User may act as both a Hero and a Fan, depending on the specific use of the Website.
User Content — any text, images, videos, audio, profile information, descriptions of services, offers, reviews, feedback or other materials that the User uploads, posts, transmits or otherwise makes available via the Website.
Third-Party Services — services, websites, applications, payment providers or other resources provided by third parties and integrated with or accessible via the Website.
Policies — the Companyʼs Privacy Policy, Cookie Policy (where applicable) and any other rules, guidelines or documents referenced on the Website, as updated from time to time.

2. SCOPE OF THE AGREEMENT
2.1. The Agreement governs the relationship between the Company and the User in connection with the Userʼs access to and use of the Website and the Companyʼs Services.
2.2. By registering on the Website or using its Services, the User unconditionally agrees to be bound by this Agreement.
2.3. The Website functions as an online platform that enables Heroes to offer, and Fans to request and purchase, time, communication, digital content and other services from Heroes. The Company provides only the technological infrastructure and, where applicable, payment and support functionalities, but does not itself provide the Heroʼs services to Fans.
2.4. The Company provides Users with access to digital services via the Website. The Company may modify or discontinue any aspect of the Services at any time at its sole discretion.
2.5. The Company is not a seller of physical goods or organizer of offline events unless explicitly stated.
2.6. Unless expressly stated otherwise in specific Service terms, the Company is not a party to any individual agreement between a Hero and a Fan. The Hero and the Fan are solely responsible for the performance of their mutual obligations (including the provision of services and communication), and the Company shall not be liable for any failure by a Hero or Fan to fulfil such obligations.
2.7. In addition to this Agreement, the Userʼs use of the Website is governed by the Policies published on the Website (including the Privacy Policy and, where applicable, Cookie Policy). In the event of any inconsistency between this Agreement and the Policies, this Agreement shall prevail, unless otherwise expressly stated.

3. REGISTRATION AND USER ACCOUNT
3.1. To access certain Services, the User must complete registration and create an Account.
3.2. The User is solely responsible for the accuracy of the information provided and for keeping login credentials secure.
3.3. The User shall not share, sell or otherwise transfer their Account or login credentials to any third party and is responsible for all activities carried out under their Account.
3.4. The User shall immediately notify the Company of any unauthorized use of the Account, suspected compromise of login credentials or any other security breach related to the Website or Services.
3.5. The Company may, where required by law or in order to prevent fraud, abuse or security incidents, request additional information or verification (including identity or contact verification) from the User and suspend access to the Account until such verification is completed.
3.3. (original 3.3 renumbered as 3.6) The Company may, at its discretion, suspend or delete a Userʼs Account in case of violation of this Agreement or applicable laws.
3.6. The User acknowledges that deletion of the Account may result in the loss of access to certain Services and User Content associated with that Account, subject to the Companyʼs data retention obligations under applicable law.
3.7. Heroes may be required to provide additional information (including profile description, links, qualifications or identity verification) in order to offer services to Fans. The Company may refuse or revoke Hero status at its sole discretion where there are risks of fraud, abuse or non-compliance with this Agreement.

4. RIGHTS AND OBLIGATIONS OF THE PARTIES User Obligations:
4.1. Comply with the terms of this Agreement and applicable UAE laws.
4.2. Provide accurate and truthful information during registration and usage of the Website.
4.3. Refrain from using the Website for illegal activities, spamming, or infringing on third-party rights.
4.4. The User is solely responsible for any User Content that they upload, post, transmit or otherwise make available via the Website, and warrants that such User Content does not violate applicable law or the rights of third parties (including intellectual property rights, rights of publicity and privacy rights).
4.5. By providing User Content through the Website, the User grants the Company a non-exclusive, worldwide, royalty-free licence (with the right to sublicense) to host, store, reproduce, modify, adapt, publish, translate, create derivative works from, publicly perform and display such User Content solely for the purposes of operating, improving, marketing and promoting the Website and the Services.
4.6. The User agrees not to: (a) attempt to gain unauthorized access to the Website, other Accounts, computer systems or networks connected to the Website; (b) use automated scripts, bots, scrapers or similar tools to collect information from or interact with the Website, except as expressly permitted by the Company; (c) upload or distribute any viruses, malware or other harmful code; or (d) interfere with or disrupt the normal operation, security, integrity or performance of the Website or Services.
4.7. Heroes shall: (a) provide accurate, clear and non-misleading descriptions of their services, availability and pricing; (b) deliver the agreed services to Fans in good faith and in a timely manner; and (c) comply with all applicable tax, immigration, labour and other legal obligations related to the income received via the Website.
4.8. Fans shall: (a) respect the time and reasonable rules of communication established by Heroes; (b) not use the Website to harass, threaten, defame, discriminate or otherwise harm Heroes or other Users; and (c) refrain from requesting or inducing Heroes to violate applicable law or this Agreement.
4.9. The User shall not bypass or attempt to bypass the Websiteʼs processes for payments and Orders (including by arranging off-platform payments for services initially negotiated via the Website) for the purpose of avoiding fees or commissions.
Company Rights:4.10. To update the content, structure, and access to the Website without notice.
4.11. To block, restrict or delete User Accounts in case of violations.
4.12. To send informational and promotional emails and messages to Users who have given consent.
4.13. The Company may, but is not obliged to, review, moderate or remove any User Content that, in the Companyʼs reasonable opinion, violates this Agreement, the Policies or applicable law, or may negatively affect the security or reputation of the Website, the Services or other users.
4.14. The Company does not control and is not responsible for the quality, timing, content or outcome of services provided by Heroes to Fans, and does not guarantee that any particular Hero or Fan will meet the expectations of the other party.
4.15. Nothing in this Agreement shall be construed as creating an employment, partnership or agency relationship between the Company and any Hero or Fan; Heroes and Fans act as independent parties in their interactions with each other.

5. SERVICES AND PAYMENTS
5.1. Some Services offered by the Website may be subject to payment. All applicable fees are displayed prior to checkout.
5.2. The User agrees to pay the applicable fees using available payment methods.
5.3. Upon successful payment, the User receives access to the Service as described.
5.4. Payments are non-refundable unless otherwise stated in specific Service terms.
5.5. In Hero–Fan interactions, Fans pay the total price for the requested services (e.g. calls, chats, consultations, digital content) via payment methods available on the Website. The Company (or its payment providers) collects such payments and subsequently transfers the corresponding payouts to Heroes, minus any applicable commissions, fees or charges specified on the Website or in separate terms.
5.6. Prices, fees and billing rules (including any recurring payments or subscriptions) are described on the Website or within the relevant Service description. The Company reserves the right to change prices and fees at any time; such changes shall not affect Orders already completed and paid for by the User.
5.7. The User is responsible for any bank or payment provider fees, currency conversion fees, taxes, duties or other charges arising from their payments for the Services, unless the Website explicitly states that such charges are covered by the Company. Heroes are solely responsible for reporting and paying any applicable taxes on the income received from Fans via the Website.
5.8. In case of suspected fraud, unauthorized use of payment methods, chargebacks or other irregularities, the Company may temporarily suspend or restrict access to the relevant Account, Service or payouts and request additional verification or documentation from the User.
5.9. Where refunds are provided on an exceptional basis, the Company may, at its sole discretion, issue such refunds in the same form of payment originally used by the User or in the form of credit within the Website and may adjust the Heroʼs payouts accordingly.

6. LIABILITY
6.1. The Website and Services are provided "as is" without warranties of any kind.
6.2. The Company does not guarantee uninterrupted access, error-free operation, or accuracy of the Website content.
6.3. The Company shall not be liable for any direct or indirect losses arising from the use or inability to use the Website or Services.
6.4. The User is solely responsible for the consequences of actions taken while using the Website.
6.5. To the maximum extent permitted by applicable law, the aggregate liability of the Company for any and all claims arising out of or in connection with the Website and Services shall be limited to the total amount of fees (if any) paid by the User to the Company for the Services during the three (3) months immediately preceding the event giving rise to the claim.
6.6. The Company does not provide any professional, legal, financial, investment, medical or other professional advice through the Website. Any information provided via the Services is for general informational purposes only, and the User remains solely responsible for any decisions made based on such information.
6.7. The Company is not responsible for any communications, agreements or disputes between Heroes and Fans, including but not limited to the fulfilment of promised services, compatibility of schedules, quality of advice or content, or any outcomes resulting from interactions between Heroes and Fans, whether online or offline.
6.8. If Heroes and Fans choose to meet in person, they do so entirely at their own risk. The Company does not arrange, supervise or control such meetings, and shall not be liable for any events, incidents, damages or injuries that may occur before, during or after such meetings. Users are solely responsible for their own safety and for compliance with applicable law.

7. PERSONAL DATA AND PRIVACY
7.1. The User consents to the collection, storage, and processing of their Personal Data in accordance with UAE law.
7.2. Data is processed for purposes including account creation, provision of Services, technical support, analytics, and marketing.
7.3. The User has the right to request correction or deletion of their Personal Data by emailing: ceo@thetimeofheroes.com.
7.4. Withdrawal of consent does not affect the lawfulness of data processing conducted prior to withdrawal.
7.5. Details of the processing of Personal Data, data subject rights and security measures are further described in the Companyʼs Privacy Policy available on the Website, which forms an integral part of this Agreement.

8. INTELLECTUAL PROPERTY
8.1. All content on the Website, including text, graphics, logos, images, and software, is the intellectual property of the Company or its licensors.
8.2. The User may not copy, modify, distribute, or reproduce any Website materials without prior written consent of the Company.
8.3. Nothing in this Agreement shall be interpreted as transferring any intellectual property rights in the Website or Services to the User, other than the limited, revocable, non-exclusive and non-transferable licence to access and use the Website in accordance with this Agreement.
8.4. The User retains ownership of intellectual property rights in their User Content, subject to the licence granted to the Company in this Agreement. Heroes remain solely responsible for ensuring that any materials, brands or content they use in connection with their services do not infringe the rights of third parties.

9. DISPUTE RESOLUTION AND GOVERNING LAW
9.1. This Agreement shall be governed by and interpreted in accordance with the laws of the United Arab Emirates, without regard to its conflict of laws rules.
9.2. Any disputes shall be settled through negotiation; if unresolved, the dispute shall be submitted to the competent court in Dubai (IFZA jurisdiction).

10. AMENDMENTS AND TERMINATION
10.1. The Company reserves the right to amend this Agreement at any time by publishing an updated version on the Website.
10.2. Continued use of the Website following any changes constitutes acceptance of the amended Agreement.
10.3. The User may terminate this Agreement by deleting their Account and ceasing use of the Website.
10.4. The Company may terminate the Agreement and access to Services at any time for violations or as required by law.
10.5. If the User does not agree with the updated version of the Agreement, they shall stop using the Website and Services and may delete their Account; continued use of the Website after the effective date of the updated Agreement constitutes acceptance of such changes.

11. MISCELLANEOUS
11.1. Indemnification. The User agrees to indemnify, defend and hold harmless the Company, its officers, directors, employees and affiliates from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with: (a) the Userʼs breach of this Agreement or the Policies; (b) the Userʼs violation of any applicable law or third-party rights; or (c) any User Content or services offered or provided by a Hero to a Fan via the Website.
11.2. Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11.3. Assignment. The Company may assign or transfer its rights and obligations under this Agreement to a third party in connection with a merger, acquisition, corporate reorganization or sale of assets. The User may not assign or transfer their rights or obligations under this Agreement without the prior written consent of the Company.
11.4. No Waiver. The failure of the Company to enforce any provision of this Agreement shall not constitute a waiver of such provision or of any other rights of the Company.
11.5. Entire Agreement. This Agreement, together with the Policies referenced herein, constitutes the entire agreement between the parties in relation to the subject matter hereof and supersedes all prior discussions, arrangements or agreements in respect thereof.
